Expert Agreement

This Agreement (“Agreement”) is made between you, the expert (“You”), and Hawkfish AS, the company operating the CSPE.com platform (“Company”).

As a CSPE expert, you can focus on delivering high-quality one-on-one remote support in your area of expertise, while we support you with tools, scheduling, platform infrastructure, and client onboarding.

By offering services through CSPE.com, you agree to the following terms:

1. Independent Contractor Status

1.1 You acknowledge and agree that you are acting as an independent contractor and not as an employee, agent, or representative of CSPE.com or Hawkfish AS.

1.2 You are solely responsible for all taxes, insurance, legal obligations, and liabilities arising from compensation received through CSPE.com.

2. Scope of Work

2.1 You will provide one-on-one technical support and related services to clients via CSPE.com.

2.2 You may set your own availability and services, subject to CSPE.com policies and guidelines.

2.3 Availability and Session Format Requirements
You must be able to offer both full sessions of 50 minutes, followed by a 10-minute break, and short sessions of 25 minutes, followed by a 5-minute break.

You are required to offer a minimum of 20 hours of availability per week, except during periods of documented vacation, illness, or other approved absences. You may freely choose your working hours between Monday and Sunday, provided this requirement is met.

3. Conduct, Security, and Compliance

3.1 You agree to:

  • Deliver services professionally, respectfully, and on time.
  • Conduct all meetings in a private room with proper lighting and minimal disturbances.
  • Maintain strict client confidentiality at all times.
  • Never receive, store, or request sensitive personal information (e.g., passwords, passport scans, card numbers).
  • Immediately inform the client to change any password entered in plain text during a session.
  • Disable screen sharing before any sensitive data entry and re-enable it only after.
  • Comply with privacy laws and platform-specific procedures.

3.2 You will be held personally liable for any unlawful or unethical activity committed during your engagement.

3.3 You must complete identity and proof-of-address verification with CSPE before offering services.

4. Software and Hardware Requirements

4.1 Required software which CSPE will provide for you:

  • Zoom Workplace Pro
  • Calendly Teams
  • Microsoft Exchange email (@cspe.com)
  • CSPE Dashboard access

4.2 Required hardware which you have to ensure:

  • Two monitors
  • Stable computer (Windows/macOS)
  • Quality webcam
  • Protected WiFi or VPN

5. Office Environment

You must operate from a private, quiet room to ensure confidentiality and trust. Open-plan offices or co-working spaces are acceptable only if meetings are conducted in enclosed, private rooms. You need to have good lighting and wear a presentable business casual attire during client meetings.

6. Payments and Minimum Rates

6.1 You will set your own hourly rate between 40 USD and up to 299 USD.

6.2 You agree to a one-time refundable deposit of $99 returned after completing a minimum of five client sessions. This allows CSPE to cover any loss due to software and setup costs that CSPE will grant you for free like:

  • Manual verification of experience, identity and address
  • Onboarding with an onboarding expert at CSPE (50 minutes)
  • Zoom Workplace Pro license at 160 USD/year
  • Calendly Teams license at 180 USD/year
  • Microsoft Exchange & Calendar at 60 USD/year
  • Your own professional @cspe.com email address
  • Your expert listing and promotion on CSPE.com
  • Slack channel to connect and share tips with other experts
  • CSPE Dashboard access with automated follow up system for your clients
  • Booking and payment system setup
  • Customer communication assistance
  • Ongoing support and helpful tools

6.3 You will use Stripe to process your payments and connect it to CSPE’s main stripe account.

6.4 You are responsible for managing refunds, taxes, and disputes. You must comply with refund requests issued by CSPE.

6.6 You may cancel your profile with CSPE at any time, but you will then lose access to the services listed.

7. No Guarantee of Engagement

7.1 CSPE.com makes no guarantee of bookings or income.

7.2 The Company may remove your profile or terminate your access at its discretion for any breach or quality concerns.

7.3 You are expected to actively promote your services locally, including to your personal and professional network, where appropriate. Your success on CSPE.com depends in part on your individual marketing efforts in addition to platform visibility.

8. Fee Structure

CSPE charges a 30% fee on all transactions as the default for new experts.

  • If you complete at least 20 sessions in a month, your fee will be reduced to 25%.
  • If you complete at least 60 sessions in a month and maintain an average rating of 4.5 or higher (out of 5), you will receive the “CSPE Pro” label on your profile, and your fee will be reduced to 20%.

Progress is evaluated monthly. Fee adjustments apply the following month based on whether the criteria are met or missed.

9. Liability and Indemnification

9.1 You are solely liable for all advice and services provided.

9.2 You agree to indemnify and hold harmless Hawkfish AS and CSPE.com for any damages, claims, or losses resulting from your actions or omissions.

10. Governing Law and Dispute Resolution

10.1 This Agreement shall be governed by the laws of Norway, and disputes shall primarily be resolved in the courts of Norway. However, Hawkfish AS is open to applying the laws of the State of California, United States, and resolving disputes in California courts, subject to mutual agreement with the Expert.

11. Term and Termination

11.1 This Agreement remains valid while you offer services on CSPE.com. You may terminate your profile at any time by sending an email to [email protected]

11.2 The Company reserves the right to terminate this Agreement at any time in the event of violations of terms, misconduct, insufficient client volume (fewer than 10 clients per month), low client satisfaction, limited repeat bookings, or any behavior that poses a reputational risk to the Company.

12. Acceptance
